MotorK PLC, a leading SaaS provider for the automotive retail industry in the EMEA region, has completed the transfer of its digital marketing operations in Italy and Spain to Underdogs S.r.l., part of Underdogs Group.
The completion follows the strategic partnership announced on 10 June 2026. Through this agreement, MotorK digital marketing activities in both markets will now operate under Underdogs Group’s specialised service capabilities.
Partnership Strengthens Automotive Digital Marketing Services
As per the business unit transfer agreement, MotorK Italia S.r.l. and MotorK Spain Gestiones Comerciales S.L. have assigned their activities pertaining to the provision of digital marketing services to Underdogs. This assignment encompasses the customer contracts and six employees of both companies, along with the associated knowledge base. In addition, MotorK will continue to assist in the partnership through the licensing of its own proprietary digital marketing technology platform, AdSparK, to Underdogs.
Zoltan Gelencser, Interim Group Chief Executive Officer, commented: “With these agreements, the partnership announced in June becomes fully operational. MotorK retains AdSparK and its technology revenues, while our customers gain a partner specialised in digital marketing delivery.”
These transferred activities were previously reported under the category of Digital Marketing revenue stream within MotorK. The revenue of this stream for the year ended FY 2025 was €8.0 million, while for the first quarter of 2026, the revenue was €1.7 million. It is noted that according to MotorK, the financial consideration from this transfer is not material for the Group.
Also, the partnership helps MotorK retain its ownership of AdSparK and earn additional income from technology. This partnership would prove to be beneficial for the customers due to the service-based approach of digital marketing provided by Underdogs. Through this partnership, MotorK and Underdogs hope to improve digital marketing solutions for automobile companies.
